Share Deals and Asset Deals

Whether the transaction involves shares or selected assets and business operations affects liabilities, contracts, permits, employees, tax and implementation. We assess transaction structure together with tax and financial advisers.

Legal Due Diligence

We review Corporate, material contracts, privacy, litigation, compliance and regulatory issues. Due diligence should not simply list risks; it should explain how they affect price, warranties, conditions and integration.

Regulatory, Change of Control and Merger Control

Regulated businesses may face notification or approval requirements when ownership or control changes. Austrian or EU merger control may also apply. A filing with the Austrian Federal Competition Authority is required only where the applicable statutory criteria and thresholds are met.
